ODD SPOT™ License Agreement

This License Agreement governs your use of all ODD SPOT™ educational materials, including posters, rack cards, and digital assets (“Materials”) purchased or accessed through Oddspot, LLC (“Licensor”).
By purchasing, downloading, accessing, customizing, displaying, or distributing ODD SPOT™ Materials, you agree to the following terms.
1. Grant of License
You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to:
1.1 Display & Use
- Display purchased posters and rack cards within your clinic, organization, or institution
- Use digital assets internally for patient and community education (e.g., waiting room screens, presentations, internal portals)
1.2 Distribute Rack Cards
- You may distribute purchased and co-branded rack cards to patients, families, and community members for take-home educational use
- This does not permit printing additional copies unless explicitly licensed
1.3 Co-Branding
- You may add your approved clinic or institution logo ONLY in the designated customization area
- No other design, format, or content changes are allowed
2. Restrictions
Unless explicitly permitted in writing, you may NOT:
- Reproduce, print, photocopy, or scan Materials
- Upload digital files for public download, social media, newsletters, or websites
- Add graphics, QR codes, sponsor logos, text, disclaimers, or edits
- Translate, crop, recolor, reword, or redesign any portion of the Materials
- Create derivative works
- Share digital files with partners, affiliates, or external organizations
- Print additional rack cards outside of ODD SPOT™ production sources
3. Ownership
All ODD SPOT™ content — including educational frameworks, images, diagrams, logos, trademarks, layout, and text — remains the exclusive property of Oddspot, LLC.
Co-branding does not transfer ownership or confer joint copyright.
4. Clinical Use Limitations
ODD SPOT™ Materials are educational only and:
- Do not diagnose skin cancer
- Do not replace clinical evaluation
- Must not be integrated into AI tools, EMRs, triage systems, or decision-support software
5. Multi-Site & Institutional Use
If your organization has multiple sites, each location must either:
- Be listed under a single institutional license, or
- Obtain its own license
Distribution to affiliates or partners is prohibited without additional licensing.
6. Term & Termination
Licensor may terminate this agreement for:
- Any breach of terms
- Unauthorized reproduction or digital publication
- Misuse of ODD SPOT™ intellectual property
Upon termination, you must:
- Cease all use
- Destroy physical copies
- Delete digital files
No refunds for violations.
7. Enforcement
Licensor reserves the right to pursue:
- Injunctive relief
- DMCA takedowns
- Financial damages
- Attorney’s fees
Unauthorized reproduction or distribution constitutes infringement.
8. Warranty Disclaimer
Materials are provided “AS IS” without warranties of any kind, including fitness for clinical application.
9. Limitation of Liability
Licensor’s total liability is limited to the amount paid for the licensed Materials.
10. Updates
Licensor may update this License Agreement. Continued use constitutes acceptance of updated terms.
